The volume of corporate assignments handled by the Firm encouraged it to start a specialized Corporate Division dealing with both contentious and non-contentious matters.

The core of the expertise relates to conducting schemes of amalgamation, merger, de-merger, acquisition and litigation arising out affairs and management of companies. Legal assistance is provided for incorporation of companies; issue and subscription of shares; advising on meetings of Directors and shareholders, takeover of management, variation of shareholder's rights, Director's powers and obligations, constitution and functioning of the Board, drafting of prospectus, investigation into the affairs and assets of companies, litigation relating to oppression/ mismanagement, capital restructuring, winding up of companies; answering shareholder's grievances and advising on SEBI Regulations.

The area of work includes incorporation of companies, advising on meetings of shareholders or creditors, change of management, variation of shareholder's rights, Director's powers and obligations, Constitution of Directorial Boards, issuance of shares, drafting of prospectus, investigation into the affairs and assets of companies, oppression / mismanagement, capital restructuring, conducting proceedings, pertaining to winding up of companies, before various High Courts in India, handling litigation before the Company Law Board, answering shareholder's grievances on behalf of clients and advising on SEBI Regulations and Guidelines.
